End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User," "you," or "your") and Corporate AI Solutions LLC, a California limited liability company doing business as Careflow Animal Health ("Company," "we," "us," or "our"), governing your use of the Careflow Animal Health mobile application (the "App") on iOS and Android devices.

1. License Grant

Subject to your compliance with this EULA, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on any Apple-branded or Android-branded device that you own or control, solely for your personal or internal business use, in accordance with the usage rules set forth in the applicable app store's terms of service.

2. Scope of License

This license is limited to a non-transferable license to use the App on any device that you own or control, as permitted by the App Store Usage Rules. You may not: (a) distribute or make the App available over a network where it could be used by multiple devices at the same time; (b) rent, lease, lend, sell, redistribute, or sublicense the App; (c) copy, decompile, reverse engineer, disassemble, or attempt to derive the source code of the App; (d) remove, alter, or obscure any proprietary notices on the App.

3. Maintenance and Support

The Company, not Apple or Google, is solely responsible for providing any maintenance and support services with respect to the App, as required under applicable law. Apple and Google have no obligation whatsoever to furnish any maintenance or support services for the App.

4. Warranty

The Company is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple or Google, and Apple or Google will refund the purchase price (if any) for the App to you; to the maximum extent permitted by applicable law, Apple and Google will have no other warranty obligation whatsoever with respect to the App. Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are the sole responsibility of the Company.

5. Product Claims

The Company, not Apple or Google, is responsible for addressing any claims from you or any third party relating to the App or your possession and/or use of the App, including but not limited to: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation, including in connection with the App's use of any third-party AI service (including OpenAI and ElevenLabs).

6. Intellectual Property Rights

In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, the Company, not Apple or Google, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

7. Legal Compliance

You represent and warrant that (a) you are not located in a country subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.

8. Third-Party Beneficiary

You acknowledge and agree that Apple, Google, and their respective subsidiaries are third-party beneficiaries of this EULA, and that, upon your acceptance of this EULA, each will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary of this EULA.

9. Termination

This license is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the App and destroy all copies of the App in your possession.

10. Relationship to Terms of Service

This EULA supplements, and should be read together with, our Terms of Service and Privacy Policy. In the event of a conflict between this EULA and the Terms of Service specifically with respect to App Store distribution requirements, this EULA shall govern.

11. Governing Law

This EULA is governed by the laws of the State of California, without regard to its conflict of laws principles, except to the extent required otherwise by applicable App Store terms.
